C&S Wholesale Grocers close to deal for Winn-Dixie stores

According to sources, Aldi has worked with investment bankers to offload some Winn-Dixie stores.

NEW YORK – A group led by C&S Wholesale Grocers is close to finalizing a deal to acquire nearly 350 Winn-Dixie grocery and liquor stores from Aldi's U.S. unit, according to sources familiar with the matter speaking to Reuters.

The deal involves C&S and members of Winn-Dixie's management team taking control of approximately 170 grocery stores and another 170 liquor stores, one source revealed on condition of anonymity due to confidentiality.

Aldi acquired Southeastern Grocers in 2023, which included around 400 Winn-Dixie and Harvey’s Supermarket locations and about 170 liquor stores. Four sources confirm that in recent weeks, Aldi has worked with investment bankers to offload a portion of the Winn-Dixie stores.

According to those sources, the remaining Winn-Dixie and Harvey stores acquired from Southeastern Grocers will gradually be rebranded as Aldi locations.

Neither Aldi nor C&S Wholesale Grocers immediately responded to requests for comment.

Winn-Dixie, founded in 1925, operates grocery and liquor stores in Alabama, Florida, Georgia, Louisiana, and Mississippi.

C&S Wholesale Grocers, founded in 1918, is a supplier focused on expanding its presence in grocery retail. The company currently operates approximately two dozen stores under the Grand Union and Piggly Wiggly brands. This acquisition comes on the heels of a previous setback for C&S, as its 2023 deal to purchase 579 stores from Kroger and Albertsons collapsed due to regulatory challenges.

This potential deal marks a strategic step for C&S Wholesale Grocers as it seeks to deepen its presence in the competitive U.S. grocery market.
